Legislative decree 231/2001

Legislative Decree No. 231/2001 (the “Decree”) introduced a new form of liability – Administrative Liability – which falls on legal entities (the “Companies”) for certain types of crimes where these were committed by their directors, representatives, employees, and collaborators in the interest and/or to the advantage of the Company.

The same Decree provides that companies may not incur such form of liability if they demonstrate that they have adopted and effectively implemented, before the commission of the crime, an organization, management and control model (the “Model”) suitable for preventing the commission of the crime.
